Имхо, Proxy Statement в своем оригинальном значении буквально означает “Сообщение (или заявление; или увведомление) лицу, имеющему право голоса” (уполномоченному лицу – см. значение слова Proxy, это может быть и непосредственного акционер, и лицо, действующее на основании доверенности – это не имеет никакого значения, главное – что это лицо с правом голоса), и слово доверенность здесь в переводе совершенно лишнее (если на это прямо не указывается в соотв. документе).

Обычно это переводится (и соответствует российскому) “Сообщение (извещение; информация; уведомление) о проведении (очередного; годового) собрания акционеров”. Просто и коротко.
